“By the way” means that you want to say something in addition. Example: Happy birthday honey, here is your present! By the way, your aunt said hello to you! Hope you understand :)

We use would when we offer something to someone. For example: Would you like some tea? We use would in conditional clauses, and also for past habbits. Example: When I was a child, I would eat lots of cake and so forth.
Try to find usage of would online. Take care.
